Terms & Conditions
Effective date: 28 October 2026
These Terms & Conditions (“Terms”) apply to your use of the Homlistafe Ventures website and, where relevant, our software development, websites, e-commerce, POS, cloud configuration, business email and integration services. By using the website, you agree to these Terms. Project-specific proposals or signed agreements take precedence over these general Terms where they conflict.
1. Our services
Homlistafe Ventures provides software development and technology services that may include HOMLI POS, business management systems, websites, e-commerce platforms, mobile applications, professional email setup, cloud services, WhatsApp Business integrations, catalogue and order workflows, and delivery or rider assignment systems. Features, availability, timelines and deliverables depend on the scope agreed for each project.
2. Proposals, fees and payment
Any quotation or proposal will describe the agreed scope, fees and payment milestones where applicable. Unless otherwise agreed in writing, third-party charges—such as hosting, domains, email subscriptions, messaging fees, payment processing or platform fees—may be billed separately. Work may be paused where required payments are overdue, subject to any signed agreement.
3. Client responsibilities
You agree to provide accurate information, required content, approvals and lawful access to systems needed for delivery. You are responsible for the legality and accuracy of content, products, prices and business claims you publish, for safeguarding your account credentials, and for ensuring your staff use the systems appropriately.
4. Acceptable use
You must not use our website or services to break the law, infringe third-party rights, distribute malware, send unsolicited or unlawful communications, attempt unauthorised access, disrupt systems, or misuse personal information. We may suspend access where reasonably necessary to investigate abuse, protect users or comply with law.
5. Third-party platforms and integrations
Some features rely on independent services, including hosting providers, Meta/WhatsApp, payment gateways, email providers, app stores and other APIs. Their availability, approval processes, policies, pricing and technical requirements may change. We cannot guarantee uninterrupted operation of third-party platforms or approval of accounts, templates, catalogues or integrations. You must comply with the relevant provider terms and maintain any accounts and permissions required for your use.
6. Software, intellectual property and licences
Ownership and licensing of custom code, designs, content and other deliverables should be set out in the relevant project agreement. Unless agreed otherwise, each party retains rights to materials it owned before the project. You grant us permission to use the materials and access you provide only as reasonably needed to perform the agreed services. Third-party software remains subject to its own licence terms.
7. Data, backups and security
We use reasonable measures appropriate to the service to protect systems and information, but no technology can guarantee absolute security or uninterrupted availability. Backup frequency, data export, retention, recovery objectives and ongoing support should be confirmed in the relevant service agreement. You remain responsible for maintaining appropriate records and ensuring that your use of the software complies with applicable privacy and sector-specific laws.
8. Availability and changes
We may update our website, maintain services or change features where reasonably necessary. We will endeavour to communicate material service changes where appropriate. Any service levels, support hours, maintenance commitments or uptime guarantees apply only if expressly agreed in writing.
9. Warranties and liability
We will provide agreed services with reasonable care and skill. Except for commitments expressly set out in a written agreement and to the extent permitted by law, the website and general information are provided without guarantees that they will be error-free, uninterrupted or suitable for every purpose. To the extent permitted by law, we are not liable for indirect or consequential losses, third-party platform failures, or losses caused by inaccurate information or unauthorised use of your accounts. Nothing in these Terms excludes liability that cannot lawfully be excluded.
10. Suspension and termination
Either party may end a project or service in accordance with its written agreement. If there is no separate agreement, contact us to discuss termination and any outstanding fees or deliverables. We may suspend access where necessary for security, legal compliance, non-payment or material misuse.
11. Privacy
Our handling of personal information is described in our Privacy Policy. Specific client deployments may require separate data processing terms or additional notices.
12. Governing law and updates
These Terms are intended to be interpreted under the laws of Kenya, subject to any mandatory legal requirements and any dispute-resolution terms in a signed project agreement. We may update these Terms from time to time; the latest version will appear on this page with its effective date.
